Corporate Governance is a critical element of our business and success and our approach is detailed in the Company’s Corporate Governance policy documents. The Board of Directors have a clear 4 tier governance framework with defined responsibility and accountability, namely Board of Directors, Chief Executive Officer, sub-committees of the board and Senior Management team. This governance framework also makes provision for how our Board and its committees work and our approach to risk management and internal control.
The main function of the Board is to provide strong strategic guidance and oversight of the performance of the company on behalf of all stakeholders. Within this, the Board actively considers long term strategy, monitors and supports the work of the senior management team and is responsible for Board and executive management succession.
The role of the company Chairman is to seek to ensure high quality decision-making in all areas of strategy and performance and to promote and maintain high standards of corporate governance.
COMPLIANCE AND RISK MANAGEMENT
In keeping with recognised best practice and legislation the Board has established three sub-committees namely, an Audit Committee, a Strategic Planning Committee and a Grant Evaluation Committee.
The Board values corporate governance highly and this is reflected in our governance framework as well as by the principles, policies and practices that are applied every day across the organisation.

MEMORANDUM AND ARTICLES OF ASSOCIATION
The principal legal constitutional documents of the company are the company’s Memorandum and Articles of Association.
The Memorandum of Incorporation sets out the objects and powers of the Company.
The Articles of Association detail the provisions which apply to the holding of and voting at general meetings; and the rules relating to the Directors, including their appointment, retirement, re-election,duties and powers.
