The Board of directors have a clear 4 tier governance framework with defined responsibilities and accountabilities, namely board of directors, Chief Executive Officer, sub-committees of the board and senior management team. The main function of the Board is to provide strong strategic guidance and oversight of the performance of the company on behalf of all stakeholders. Within this, the Board actively considers long term strategy, monitors and supports the work of the senior management team and is responsible for Board and executive management succession.

The role of the company Chairman is to seek to ensure high quality decision-making in all areas of strategy and performance and to promote and maintain high standards of corporate governance.

COMPLIANCE AND RISK MANAGEMENT

In keeping with recognised best practice and legislation the Board has established three sub-committees namely, an Audit Committee, a Strategic Planning Committee and a Grant Evaluation Committee.

The Board values corporate governance highly and this is reflected in our governance framework as well as by the principles, policies and practices that are applied every day across the organisation.
